Important: Stratefile is a document filing service and business formation company. We are not a law firm and do not provide legal advice. We are not a certified public accounting firm and do not provide accounting advice. For legal or accounting advice specific to your situation, please consult a licensed attorney or CPA in your jurisdiction.

5. Service Fees and Payment

  • All service fees are clearly stated on our pricing page
  • Payment is required before services are rendered
  • State filing fees are separate from our service fees
  • Fees are non-refundable once work has commenced, except as provided in our refund policy
  • We reserve the right to change our fees with 30 days' notice

6. Refund Policy

We offer a 100% satisfaction guarantee for our services:

  • If we make an error in filing your documents, we will correct it at no charge
  • If you are unsatisfied with our service before documents are filed, we will provide a full refund
  • State filing fees are non-refundable
  • Refund requests must be submitted within 30 days of service purchase

7. Processing Times

Processing times vary by state and service level:

  • Our service: Same-day to 2 business days
  • State processing: 1-30 business days depending on state
  • Expedited processing available in most states for additional fees

We are not responsible for delays caused by state agencies, postal services, or circumstances beyond our control.

8. Intellectual Property

All content on Stratefile, including text, graphics, logos, and software, is the property of Stratefile or its licensors and is protected by copyright, trademark, and other intellectual property laws.

9. Limitation of Liability

To the maximum extent permitted by law:

  • Stratefile is not liable for any indirect, incidental, special, or consequential damages
  • Our total liability shall not exceed the amount you paid for the specific service
  • We are not responsible for delays or errors caused by state agencies
  • We do not guarantee specific business outcomes or tax savings

10. Indemnification

You agree to indemnify and hold harmless Stratefile, its officers, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or violation of these terms.

11. Confidentiality

We maintain strict confidentiality of all client information. We will not disclose your information except as required by law or as necessary to provide our services.

12. Account Termination

We reserve the right to suspend or terminate your account if you:

  • Violate these Terms of Service
  • Provide false or fraudulent information
  • Engage in abusive or harassing behavior
  • Use our services for illegal purposes

13. Dispute Resolution

Any disputes arising from these terms or our services shall be resolved through:

  • First, good faith negotiations between the parties
  • If negotiations fail, binding arbitration under the rules of the American Arbitration Association
  • Arbitration shall take place in Seattle, Washington
  • Each party shall bear its own costs and fees

14. Governing Law

These Terms of Service are governed by the laws of the State of Washington, without regard to its conflict of law provisions.
